1. Grant of License
The Extended License grants the purchaser ("Buyer") a non-exclusive, worldwide, perpetual license to use the digital asset (the "Item") they have purchased for up to 5 active domains or projects. The Buyer may use the Item in multiple End Products, subject to the limitations and restrictions specified in this Agreement.
2. Usage Rights
- Buyer’s Rights: The Buyer is authorized to use the Item to create multiple End Products for themselves or clients, as long as the total number of domains or projects does not exceed the maximum limit of 5.
- Author’s Rights: The Author retains full ownership of the Item and grants the Buyer the right to use the Item under the terms of this Extended License Agreement.
3. End Product Definition
An End Product is defined as the final work that incorporates the Item along with other elements, creating a distinct, customized work. Examples of End Products include:
- Website Theme: The Item is a website theme, and the End Product is a fully functional website using the theme.
- Mobile App Design: The Item is a set of icons, and the End Product is a mobile app using these icons.
4. Permitted Uses
- The Buyer can use the Item in up to 5 different End Products, either for themselves or for clients.
- The Buyer may transfer the End Product to a client, as long as the Item is used within the limits of this license. The license for the End Product will be transferred to the client.
- The Buyer can modify the Item, combine it with other assets, and create derivative works, provided the resulting End Product remains in compliance with this Agreement.
- The Buyer can use the Item for both commercial and personal projects, as long as the End Product is used within the 5-domain/project limit.
5. Restrictions
- The Item cannot be resold, sublicensed, or redistributed in its original form or with minimal modification. A separate license must be obtained for resale or distribution beyond the original End Product.
- The Item cannot be used in "on-demand" applications, such as website builders, e-card generators, or other tools that allow end users to customize the End Product. A separate license is required for each unique product created by a customer.
- The Item cannot be used to create an End Product for more than 5 active domains or projects without acquiring additional licenses.
6. Author's Obligations
- The Author guarantees that the Item is free of any malicious code (e.g., viruses, malware, etc.) and is of reasonable quality for its intended use.
- The Author is responsible for maintaining the Item’s availability and providing updates or support, as agreed on Codesellmarket.
- The Author grants the Buyer the license to use the Item within the scope defined by this Agreement and will not impose additional restrictions on the Buyer’s use, except where noted in the Item description.
7. Termination and Compliance
- The license granted under this Agreement may be terminated if either party breaches the terms of this Agreement. In such cases, the Buyer must immediately cease using the Item and remove it from any active projects.
- The Buyer must comply with all applicable laws, including intellectual property laws, and may not use the Item in a way that infringes upon the rights of any third party.
- If the Buyer uses the Item in a way that violates this Agreement, the Author reserves the right to terminate the license and demand the removal of the Item from the Buyer’s End Products.
8. Ownership
- The Author retains full ownership of the Item, including any associated intellectual property rights. The Buyer only receives the right to use the Item under the terms of this Extended License Agreement.
- The Buyer may not claim ownership of the Item or use it in a way that implies ownership or authorship of the Item.
9. Indemnity
- The Buyer agrees to indemnify and hold harmless the Author and Codesellmarket against any claims, damages, or expenses arising from the Buyer’s use of the Item in a manner not compliant with this Agreement.
10. Miscellaneous
- This Agreement constitutes the entire agreement between the Buyer and Author regarding the use of the Item. It supersedes any prior agreements or understandings.
- If any part of this Agreement is deemed unenforceable, the remaining terms will continue in full force and effect.
- This Agreement is governed by the laws of the jurisdiction in which Codesellmarket operates.
Definitions
- End Product: The final customized version of the Item, incorporating other elements.
- Active Domains or Projects: Unique and separate domains or projects where the Item is being used.
- Resale Rights: The right to sell or distribute the Item to others. A separate license is required for resale rights.
