Author Agreement

Welcome to CodeSellMarket. This Author Agreement ("Agreement") governs the rights, responsibilities, and obligations of every individual or entity that publishes, distributes, or sells digital products through the CodeSellMarket marketplace.

By registering as an author, submitting products for review, publishing products, or receiving earnings through CodeSellMarket, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, the Marketplace Terms & Conditions, Privacy Policy, Refund Policy, Deposit Policy, and all other marketplace policies published by CodeSellMarket.

CodeSellMarket operates solely as an online digital marketplace that connects independent software developers and digital creators with customers worldwide. Authors remain independent sellers and are solely responsible for their products, product content, intellectual property rights, licensing, customer obligations, and compliance with applicable laws.

If you do not agree with this Agreement, you must not register as an author or publish products through CodeSellMarket.

Definitions

Unless otherwise stated, the following definitions apply throughout this Agreement:

  • Marketplace means the CodeSellMarket website, platform, applications, services, and related systems.
  • Author means any registered user approved to upload, publish, distribute, or sell products through CodeSellMarket.
  • Buyer means any customer who purchases a product from the marketplace.
  • Product means any software, source code, script, application, plugin, website, mobile application, API, template, digital asset, documentation, or downloadable content published by an author.
  • Earnings means the amount payable to an author after marketplace commissions, refunds, chargebacks, taxes, fees, or other deductions.
  • Commission means the marketplace fee retained by CodeSellMarket for facilitating sales.
  • Intellectual Property includes copyrights, trademarks, patents, trade secrets, software, source code, databases, documentation, graphics, designs, and other proprietary rights.

Author Eligibility

To become an author on CodeSellMarket, you must:

  • Be at least eighteen (18) years of age or have the legal capacity to enter into binding agreements under the laws applicable in your jurisdiction.
  • Provide accurate, complete, and truthful registration information.
  • Possess all legal rights required to distribute every product you upload.
  • Comply with all applicable local, national, and international laws and regulations.
  • Not be prohibited from conducting business under any applicable sanctions or legal restrictions.

CodeSellMarket reserves the right to reject, suspend, or revoke author privileges where eligibility requirements are not satisfied.

Author Account

Authors are responsible for maintaining the security and confidentiality of their marketplace accounts.

By creating an author account, you agree to:

  • Provide accurate registration information.
  • Maintain current contact information.
  • Protect your login credentials.
  • Notify CodeSellMarket immediately if unauthorized account access is suspected.
  • Remain solely responsible for all activity conducted through your account.

Authors shall not:

  • Create multiple accounts to circumvent marketplace policies.
  • Transfer, sell, rent, or assign author accounts.
  • Impersonate another individual or organization.
  • Use false identities or misleading information.
  • Allow unauthorized persons to access their author account.

CodeSellMarket may require identity verification before approving author accounts, processing withdrawals, restoring account access, or investigating suspected fraud.

Author Responsibilities

Authors are solely responsible for every product published through CodeSellMarket.

By publishing a product, you represent and warrant that:

  • You are the lawful owner of the product or possess all necessary rights to distribute it.
  • Your product does not infringe any copyright, trademark, patent, trade secret, or other intellectual property rights.
  • Your product complies with all applicable laws and regulations.
  • Your product description accurately represents the functionality of the product.
  • All screenshots, preview images, videos, demonstrations, and documentation accurately represent the current version of the product.
  • Your product does not intentionally mislead customers regarding its features or capabilities.

Authors remain solely responsible for maintaining product quality, resolving verified defects within a reasonable period, and ensuring that published information remains accurate and up to date.

Professional Conduct

Authors are expected to conduct themselves professionally while interacting with customers, marketplace staff, and other users.

Authors shall not:

  • Harass, threaten, intimidate, or abuse customers.
  • Use offensive, discriminatory, or defamatory language.
  • Solicit customers to complete transactions outside CodeSellMarket.
  • Offer incentives in exchange for positive reviews.
  • Attempt to manipulate marketplace rankings, ratings, or sales statistics.

Authors are encouraged to respond to customer inquiries promptly, communicate respectfully, and provide accurate information regarding their products.

Marketplace Relationship

Authors acknowledge that CodeSellMarket acts solely as an independent marketplace facilitating digital product transactions between authors and buyers.

Nothing contained within this Agreement creates any partnership, joint venture, employment relationship, franchise, agency, fiduciary relationship, or other legal association between CodeSellMarket and any author.

Authors operate as independent sellers and remain solely responsible for their business activities, legal obligations, taxes, customer interactions, and compliance with applicable laws.

Product Submission Requirements

Authors may submit digital products for publication through CodeSellMarket, subject to marketplace review and approval. Submission of a product does not guarantee its acceptance or publication.

Every submitted product must:

  • Be complete, functional, and suitable for its intended purpose.
  • Contain accurate and truthful product information.
  • Include sufficient documentation for installation and basic usage.
  • Clearly disclose all software, server, framework, API, and dependency requirements.
  • Comply with this Agreement and all CodeSellMarket marketplace policies.

Authors are solely responsible for verifying that all submitted files are complete, free from corruption, and suitable for customer download.

Product Review Process

Every product submitted to CodeSellMarket may undergo manual or automated review before publication. Marketplace approval is intended to improve product quality and marketplace standards but does not constitute certification, endorsement, warranty, or acceptance of legal responsibility for the product.

During the review process, CodeSellMarket may:

  • Approve the product.
  • Reject the product.
  • Request modifications before approval.
  • Request additional documentation.
  • Request proof of ownership or licensing.
  • Require security improvements.

CodeSellMarket reserves the right to re-review any published product at any time and may suspend or remove products that no longer comply with marketplace standards.

Product Ownership & Intellectual Property Warranty

Authors retain ownership of the intellectual property rights in their products unless expressly transferred through a separate written agreement.

By publishing a product, the author represents and warrants that:

  • The product is original or legally licensed for distribution.
  • The author possesses all necessary copyrights, licenses, permissions, and distribution rights.
  • The product does not infringe any copyright, trademark, patent, trade secret, publicity right, privacy right, or other intellectual property right.
  • No part of the product has been unlawfully copied or misappropriated.

Authors remain solely responsible for any intellectual property disputes arising from their products.

Marketplace License

By submitting a product to CodeSellMarket, the author grants CodeSellMarket a worldwide, non-exclusive, royalty-free, revocable license to host, reproduce, display, advertise, promote, distribute, market, and make the product available for sale through the marketplace.

This license remains effective for as long as the product is available on CodeSellMarket and continues solely to the extent reasonably necessary to fulfill customer purchases, maintain transaction records, comply with legal obligations, and operate the marketplace after product removal.

Third-Party Assets

Products may include third-party assets only where the author possesses all necessary legal rights to distribute those assets.

Authors must ensure that:

  • All third-party assets are properly licensed.
  • Required copyright notices remain intact.
  • License terms are fully complied with.
  • Customers are informed of any third-party licensing requirements.

CodeSellMarket may require authors to provide proof of licensing for any third-party assets included within a product.

Open Source Software

Products incorporating open-source software must fully comply with the applicable open-source licenses.

Authors remain solely responsible for ensuring compliance with all applicable license obligations, including attribution requirements, copyright notices, source code availability obligations, and license compatibility.

Failure to comply with open-source licensing requirements may result in immediate removal of the product and suspension of author privileges.

AI-Generated Content

Authors may use artificial intelligence tools during the development of products provided that they possess all legal rights necessary to distribute the resulting content.

Authors remain solely responsible for ensuring that AI-generated code, documentation, images, text, audio, datasets, or other content:

  • Does not infringe intellectual property rights.
  • Does not violate software licenses.
  • Does not include confidential or proprietary information.
  • Complies with applicable laws.
  • Meets CodeSellMarket quality standards.

CodeSellMarket reserves the right to reject or remove AI-generated content that presents legal, ethical, security, or quality concerns.

Product Quality Standards

Authors are expected to maintain high standards of quality for every published product.

Products should:

  • Operate substantially as described.
  • Contain clean, organized, and maintainable source code.
  • Include sufficient documentation.
  • Avoid unnecessary code obfuscation.
  • Provide a reasonable user experience.
  • Remain compatible with the supported software versions stated within the product description.

CodeSellMarket reserves the right to reject products that fail to meet marketplace quality expectations.

Product Security Requirements

Authors must make reasonable efforts to ensure that their products are secure and free from known vulnerabilities at the time of publication.

Products shall not intentionally:

  • Expose sensitive customer information.
  • Create unauthorized administrator accounts.
  • Transmit confidential information without authorization.
  • Bypass authentication systems.
  • Install hidden services or unauthorized background processes.

Where verified security vulnerabilities are identified, authors are expected to provide timely updates to address such issues whenever reasonably practicable.

Malware & Backdoor Policy

Products containing malicious software are strictly prohibited.

Prohibited software includes, but is not limited to:

  • Viruses.
  • Trojans.
  • Ransomware.
  • Spyware.
  • Keyloggers.
  • Hidden cryptocurrency miners.
  • Remote backdoors.
  • Unauthorized tracking software.
  • Hidden advertisements.
  • Any intentionally concealed malicious functionality.

Discovery of malicious code may result in immediate product removal, suspension of the author account, forfeiture of pending earnings where permitted by law, and reporting to the appropriate authorities where required.

Prohibited Products

Authors shall not upload, publish, distribute, or sell products that:

  • Infringe intellectual property rights.
  • Contain pirated or stolen software.
  • Promote unlawful activities.
  • Contain malware or malicious code.
  • Bypass software licensing systems unlawfully.
  • Facilitate hacking, phishing, credential theft, or unauthorized access.
  • Contain fraudulent, misleading, or deceptive functionality.
  • Violate applicable laws or government regulations.
  • Otherwise conflict with CodeSellMarket marketplace policies.

CodeSellMarket reserves the right, at its sole discretion, to reject, suspend, remove, or permanently prohibit any product that violates this Agreement or presents legal, security, operational, or reputational risks to the marketplace or its users.

Product Pricing

Authors are responsible for selecting and maintaining appropriate pricing for their products, subject to any pricing policies, minimum pricing requirements, promotional campaigns, or marketplace rules established by CodeSellMarket.

Authors should ensure that product pricing accurately reflects the value, functionality, quality, and level of support provided by the product.

CodeSellMarket reserves the right to:

  • Require minimum or maximum pricing where necessary.
  • Correct obvious pricing errors.
  • Temporarily discount products during marketplace promotions.
  • Participate in seasonal sales or marketing campaigns.
  • Remove products with misleading or deceptive pricing.

Marketplace Commission

Authors acknowledge that CodeSellMarket charges a marketplace commission for facilitating sales, processing payments, maintaining marketplace infrastructure, fraud prevention, customer services, and other operational activities.

The applicable commission percentage shall be displayed within the author's dashboard or otherwise communicated by CodeSellMarket.

CodeSellMarket reserves the right to modify commission rates at any time. Any changes shall apply prospectively and shall not affect completed transactions unless otherwise required by law.

Sales & Order Processing

CodeSellMarket acts as an intermediary marketplace facilitating digital transactions between buyers and authors.

Completed sales are subject to payment verification, fraud detection, and marketplace review procedures where applicable.

CodeSellMarket reserves the right to delay, reject, suspend, or cancel any transaction where fraud, unauthorized payment activity, pricing errors, policy violations, or legal concerns are reasonably suspected.

Authors acknowledge that marketplace records maintained by CodeSellMarket shall serve as the authoritative record of completed transactions.

Product Support Responsibilities

Unless expressly stated otherwise within the product listing, authors are solely responsible for providing product support to their customers.

Product support may include:

  • Responding to customer inquiries.
  • Investigating verified product defects.
  • Providing bug fixes where reasonably practicable.
  • Clarifying product functionality.
  • Assisting customers in accordance with the support terms published on the product page.

Authors are not obligated to provide customization services, installation services, software development, consulting, or feature requests unless expressly offered within the product listing.

Product Updates

Authors are encouraged to maintain their products by releasing updates that improve compatibility, security, stability, and functionality.

While CodeSellMarket encourages ongoing product maintenance, authors remain solely responsible for determining whether future updates will be provided unless lifetime updates or specific update periods are expressly advertised.

Where critical security vulnerabilities are identified, authors are expected to provide appropriate security updates within a reasonable period whenever reasonably practicable.

Refunds

Refund requests submitted by customers shall be governed exclusively by the CodeSellMarket Refund Policy.

Authors acknowledge that approved refunds may result in deductions from their available earnings in accordance with marketplace policies.

CodeSellMarket reserves the right to investigate refund requests, communicate with both parties, request additional information, and determine refund eligibility in accordance with the applicable marketplace policies.

Chargebacks & Payment Disputes

Where a buyer initiates a chargeback, payment reversal, or other payment dispute, CodeSellMarket reserves the right to temporarily withhold the disputed amount while the matter is investigated.

Authors agree to cooperate with CodeSellMarket by providing any information reasonably required to contest fraudulent or invalid payment disputes.

Where a chargeback is successfully resolved in favor of the buyer, CodeSellMarket may deduct the disputed amount, associated fees, and any applicable administrative costs from the author's available balance or future earnings where permitted by applicable law.

Author Earnings

Authors earn revenue from completed product sales after deduction of marketplace commissions, refunds, chargebacks, payment processing fees where applicable, taxes, and any other deductions permitted under this Agreement.

Earnings displayed within the author dashboard are provisional until all applicable verification procedures, fraud reviews, and payment settlement periods have been completed.

CodeSellMarket reserves the right to temporarily hold earnings where fraud investigations, copyright claims, payment disputes, legal proceedings, or policy violations require further review.

Withdrawals

Authors may request withdrawals using the withdrawal methods supported by CodeSellMarket, subject to minimum withdrawal thresholds and applicable marketplace policies.

Before processing withdrawals, CodeSellMarket may require:

  • Identity verification.
  • Tax information.
  • Verification of payment details.
  • Fraud prevention checks.
  • Additional documentation where reasonably necessary.

Withdrawal requests may be delayed, rejected, or cancelled where fraudulent activity, legal restrictions, payment disputes, copyright claims, or policy violations are reasonably suspected.

Taxes

Authors remain solely responsible for determining, reporting, collecting where required, and paying all applicable taxes relating to their marketplace earnings, including income tax, GST, VAT, sales tax, withholding tax, or any other governmental charges applicable within their jurisdiction.

CodeSellMarket may collect, report, withhold, or disclose tax-related information where required by applicable laws or governmental authorities.

Reviews & Ratings

Reviews and ratings are intended to help customers make informed purchasing decisions and to provide constructive feedback to authors.

Authors shall not:

  • Offer money, discounts, gifts, or incentives in exchange for positive reviews.
  • Request false or misleading reviews.
  • Create fake customer accounts.
  • Post reviews on their own products.
  • Manipulate ratings through fraudulent activity.
  • Harass customers regarding reviews.

CodeSellMarket reserves the right to investigate, edit, hide, or remove reviews that violate marketplace policies or appear to be fraudulent, abusive, or misleading.

Fraud Prevention

CodeSellMarket employs automated systems and manual reviews to detect fraudulent activity and protect the marketplace.

Activities that may result in investigation include:

  • Artificial sales generation.
  • Self-purchases.
  • Multiple fraudulent accounts.
  • Payment fraud.
  • Refund abuse.
  • Chargeback abuse.
  • Review manipulation.
  • Circumvention of marketplace policies.

Where fraudulent activity is reasonably suspected, CodeSellMarket may suspend author privileges, delay withdrawals, remove products, withhold earnings where permitted by law, or permanently terminate author accounts.

Marketplace Rights

CodeSellMarket reserves all rights necessary to operate, maintain, improve, protect, and administer the marketplace. Nothing contained within this Agreement shall limit CodeSellMarket's ability to take reasonable actions to protect its users, business operations, legal interests, or marketplace integrity.

CodeSellMarket reserves the right, at its sole discretion, to:

  • Review, approve, reject, suspend, or permanently remove any product submission.
  • Require authors to modify products, documentation, screenshots, or descriptions.
  • Conduct quality, security, legal, copyright, and compliance reviews.
  • Investigate complaints, fraud reports, copyright claims, and policy violations.
  • Modify marketplace features, submission requirements, review procedures, commissions, and operational policies.
  • Disable product downloads where reasonably necessary.
  • Freeze author earnings while investigations are ongoing.
  • Cooperate with law enforcement agencies and government authorities where required by applicable law.

Marketplace review or approval of a product shall not constitute a warranty, certification, endorsement, or assumption of responsibility by CodeSellMarket regarding the product's quality, legality, security, or compliance with applicable laws.

Confidentiality

Authors may obtain access to confidential marketplace information during their participation on CodeSellMarket, including marketplace procedures, business information, customer information, technical documentation, unpublished features, or other confidential materials.

Authors agree to:

  • Keep confidential information strictly confidential.
  • Use confidential information solely for legitimate marketplace purposes.
  • Not disclose confidential information to unauthorized persons.
  • Implement reasonable safeguards to protect confidential information.

These confidentiality obligations shall survive the termination of this Agreement.

Suspension & Termination

CodeSellMarket reserves the right, at its sole discretion and without prior notice where reasonably necessary, to suspend, restrict, disable, or permanently terminate an author's account, products, earnings, or marketplace privileges where this Agreement, applicable laws, or marketplace policies are violated.

Grounds for suspension or termination include, but are not limited to:

  • Uploading copyrighted, stolen, or infringing content.
  • Publishing malware, spyware, ransomware, backdoors, or malicious software.
  • Repeated customer complaints regarding verified defects.
  • Fraudulent sales or payment activities.
  • Review or rating manipulation.
  • Chargeback abuse.
  • Repeated refund abuse.
  • Providing false information.
  • Attempting to compromise marketplace security.
  • Violating applicable laws or government regulations.

Upon suspension or termination, CodeSellMarket may revoke author privileges, remove products, disable downloads, suspend withdrawals, cancel pending payouts, and take any additional action reasonably necessary to protect the marketplace and its users.

Termination of this Agreement shall not affect any legal rights, liabilities, obligations, or remedies that accrued prior to termination.

Indemnification

The author agrees to indemnify, defend, and hold harmless CodeSellMarket, its owners, directors, employees, affiliates, contractors, licensors, partners, payment providers, and service providers from and against any claims, demands, actions, damages, liabilities, judgments, settlements, losses, costs, expenses, and reasonable legal fees arising directly or indirectly from:

  • The author's products.
  • Violation of this Agreement.
  • Violation of any applicable law.
  • Copyright, trademark, patent, or other intellectual property disputes.
  • Customer claims relating to the author's products.
  • Security vulnerabilities caused by the author's products.
  • Negligent, fraudulent, or unlawful conduct by the author.

This indemnification obligation shall survive the suspension or termination of the author's marketplace account.

Limitation of Liability

To the fullest extent permitted by applicable law, CodeSellMarket, its owners, affiliates, employees, contractors, licensors, payment providers, and partners shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising out of or relating to:

  • The publication or removal of products.
  • Marketplace interruptions.
  • Loss of sales or earnings.
  • Loss of business opportunities.
  • Loss of data.
  • Third-party service failures.
  • Security incidents beyond our reasonable control.
  • Actions taken in good faith to enforce marketplace policies.

Where liability cannot legally be excluded, CodeSellMarket's maximum aggregate liability arising from this Agreement shall not exceed the total marketplace commissions retained by CodeSellMarket from the author's product sales during the twelve (12) months immediately preceding the event giving rise to the claim.

Force Majeure

CodeSellMarket shall not be liable for any delay, interruption, or failure to perform its obligations under this Agreement where such delay or failure results from circumstances beyond its reasonable control.

Such circumstances include, but are not limited to:

  • Natural disasters.
  • Floods.
  • Earthquakes.
  • Fires.
  • Pandemics or epidemics.
  • War.
  • Terrorist attacks.
  • Civil unrest.
  • Government restrictions.
  • Internet outages.
  • Power failures.
  • Cyberattacks.
  • Distributed Denial-of-Service (DDoS) attacks.
  • Cloud infrastructure failures.
  • Failures of third-party service providers.
  • Any other event beyond the reasonable control of CodeSellMarket.

During a Force Majeure event, CodeSellMarket may temporarily suspend, modify, or limit marketplace services without incurring liability and will make commercially reasonable efforts to restore normal operations as soon as reasonably practicable.

Governing Law

This Author Agreement shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Subject to any mandatory legal rights that cannot be waived under applicable law, any dispute, claim, controversy, or legal proceeding arising out of or relating to this Agreement, the author's use of CodeSellMarket, product submissions, earnings, withdrawals, or any marketplace services shall be subject to the exclusive jurisdiction of the competent courts located in Pali, Rajasthan, India.

By registering as an author on CodeSellMarket, you expressly consent to the jurisdiction of the competent courts located in Pali, Rajasthan, India, except where applicable law provides otherwise.

Changes to this Agreement

CodeSellMarket reserves the right to modify, amend, replace, update, or discontinue this Author Agreement, marketplace policies, commissions, review procedures, submission requirements, or any related legal documents at any time where reasonably necessary for legal, operational, technical, security, or business purposes.

Updated versions of this Agreement shall become effective immediately upon publication on the CodeSellMarket website unless a different effective date is expressly stated.

Continued use of the marketplace after updated terms become effective constitutes acceptance of the revised Author Agreement.

If you do not agree with any modification, you must discontinue publishing products and using author services on CodeSellMarket.

Severability

If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall continue in full force and effect.

Entire Agreement

This Author Agreement, together with the Marketplace Terms & Conditions, Privacy Policy, Refund Policy, Deposit Policy, License Agreements, Community Guidelines, Copyright Policy, and any additional marketplace policies published by CodeSellMarket, constitutes the complete agreement between the author and CodeSellMarket regarding the publication, distribution, and sale of products through the marketplace.

This Agreement supersedes all prior agreements, understandings, communications, and representations relating to the same subject matter.

Authors requiring assistance regarding product submissions, copyright matters, payouts, legal notices, or this Agreement may contact CodeSellMarket through the official support system or the contact information published on the official CodeSellMarket website.

We encourage authors to contact our support team before initiating any legal action or formal dispute, as many issues can be resolved efficiently through our marketplace support process.

By registering as an author, submitting products, publishing products, or receiving earnings through CodeSellMarket, you acknowledge that you have carefully read, fully understood, and agreed to be legally bound by this Author Agreement and all related marketplace policies.
